3. Service Engagement

Our BPO and support services are provided based on formal agreements or written communication.
A service engagement becomes valid only when:

  • A proposal or quotation is accepted

  • A contract or email confirmation is approved

  • Required payments or deposits (if any) are made

We reserve the right to decline service requests.

4. Pricing & Payments

Pricing for our services is shared via proposals, quotations, or email.
Clients agree to:

  • Pay invoices within the agreed timelines

  • Bear any applicable taxes, transaction fees, or government charges

Delayed payments may result in:

  • Paused services

  • Late fee charges

  • Contract termination (in repeated cases)

5. Confidentiality

Both Bilva and the client agree to keep all shared information confidential, including:

  • Business data

  • Processes

  • Customer details

  • Internal documents

We follow strict data security practices and expect clients to maintain confidentiality as well.

6. Employee Interaction

Clients agree not to directly hire, solicit, or poach Bilva employees during a project and for 12 months after project completion, unless mutually agreed in writing.

7. Service Delivery

We strive to deliver high-quality support services but cannot guarantee outcomes affected by:

  • External systems or tools

  • Third-party platforms

  • Client-side infrastructure

  • Unforeseen technical issues

Any SLAs or delivery metrics must be mutually agreed upon in writing.

8. Third-Party Tools

We may use third-party tools such as Freshdesk, Zendesk, Slack, or other platforms to deliver services.
We are not responsible for:

  • Their performance

  • Their outages

  • Changes in their pricing or policy

Clients remain responsible for any tool licenses required for their accounts.

9. Limitation of Liability

Bilva Infotech Pvt Ltd is not liable for:

    • Loss of data caused by external systems

    • Indirect, incidental, or consequential damages

    • Downtime caused by third-party platforms

    • Losses due to incorrect information provided by the client

Our total liability, if ever applicable, will not exceed the value of the service fee paid for the last 30 days.

10. Termination

Either party may terminate a service agreement with written notice as per contract terms.
We may terminate service immediately if:

  • Payments are overdue

  • Terms are violated

  • Fraudulent activities are detected

Upon termination, all dues must be settled.

11. Intellectual Property

All content created by Bilva (reports, SOPs, training material, etc.) remains our intellectual property unless otherwise agreed.

Client-provided data remains the client’s property.

12. Website Availability

We try to keep the website up and running but do not guarantee:

  • Continuous availability

  • Zero errors

  • No interruptions

Temporary downtime may occur for maintenance or updates.

13. Changes to Terms

We may update these Terms & Conditions at any time.
Updated versions will be posted on this page with the latest date.

14. Governing Law

These Terms & Conditions are governed by the laws of India, with jurisdiction in Karnataka, India.
